THIS AGREEMENT (the “Agreement”), made effective upon payment of the entry fee, by and between Redbrook Enterprises Inc. o/a Redbrook Publishing, of 800 Steeles Ave. W, #B10182, Thornhill ON [Canada] L4J 7L2, (“Redbrook”), and the “Participant” of “Participant’s Address”.

WHEREAS, Redbrook has organized the Words from Behind the Mask Eerie Image Contest, (the “Contest”), as described in the Contest Guidelines, (the “Guidelines”); and

WHEREAS, the Participant wishes to participate in the Contest by submitting their image, (the “Work”), and if selected as a winner, agrees to have their Work published by Redbrook;

NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Participant and Redbrook agree as follows:

Eligibility:
Participant confirms they meet the entry qualifications outlined in the Guidelines, including age, residency, and content restrictions.

Grant of Rights:
Upon winning, the Participant grants Redbrook non-exclusive worldwide publishing rights to reproduce, distribute, display, and create derivative works of the Work in connection with the Contest and promotion of the “Words from Behind the Mask” quarterly publication, in any media now or hereafter, in all formats, or any other medium Redbrook deems fit, without further compensation.

Originality:
Participant warrants that their Work is original, previously unpublished, they are the sole owner of all rights to the Work, and the Work does not infringe upon the rights, including but not limited to copyrights, of any third party. No work produced by artificial intelligence will be accepted. The Participant also agrees to indemnify and hold Redbrook harmless against any claims arising from the violation of this clause.

Payment:
Participant acknowledges that the entry fee is non-refundable. If the Participant’s Work is selected for a prize, Redbrook will issue prize payments as described in the Guidelines.

Termination:
Redbrook reserves the right to cancel the Contest or change the Guidelines at any point without prior notice. In the event Redbrook cancels a contest, entry fees may be refunded.

Communication:
Redbrook will communicate with Participants as described in the Guidelines, and Participant agrees to provide accurate contact information for this purpose. Participant further agrees to keep their contact information updated or notify Redbrook of any changes to ensure proper communication.

Confidentiality:
Redbrook will ensure that the Work remains confidential and not shared outside of the judging panel until publication. Personal data will only be used for the purposes of the Contest unless otherwise consented by the Participant.

Limitation of Liability:
Redbrook shall not be liable for any indirect, special, incidental, or consequential damages arising out of or related to this Agreement, including, without limitation, lost profits or revenues.

Force Majeure:
Both parties will be absolved of their duties and obligations under this Agreement in the event of circumstances beyond their control (e.g., natural disasters, pandemics, acts of war, etc.).

Governing Law:
This Agreement shall be governed by the laws of Ontario, Canada. Any disputes arising from this Agreement shall be resolved in the courts of Ontario, Canada.

Entire Agreement:
This Agreement contains the entire understanding of the Participant and Redbrook and supersedes all previous oral and written agreements on the subject hereof. Any amendments to this Agreement are not valid unless made in writing and expressly agreed to by both parties.
